Terms & Conditions

These terms and conditions (“Terms”) govern access to and use of the Agrimonitor water reservoir and irrigation monitoring platform and related services (the “Services”), provided by TREETOP TECHNOLOGIES (Pty) Ltd, trading as Agrimonitor, Reg. No. 2026/128315/07 (“Agrimonitor”, “we”, “us”, or “our”), with its registered address at 357B Church Avenue, Pretoria, Gauteng, 0081, South Africa, a company registered in the Republic of South Africa.

1. Acceptance of Terms

By creating an account, accessing a dashboard, or otherwise using the Services, you (“Customer” or “you”) agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Definitions

• “Services” means the Agrimonitor platform, dashboards, mobile/web applications, devices, gateways, and support described on our Pricing page or an agreed order.
• “Customer Data” means data submitted to, or collected by, the Services on your behalf, including reservoir telemetry, farm/site details, and personal information of your users or contacts.
• “Personal Information” has the meaning given to it in the Protection of Personal Information Act, 4 of 2013 (“POPIA”).

3. The Services

Agrimonitor provides remote monitoring of reservoirs, irrigation infrastructure, and associated equipment. The specific package, devices, and features available to you are set out in your order or on the Pricing page. We may update or improve the Services from time to time, provided this does not materially reduce the functionality you have paid for.

4. Customer Accounts

You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at the contact details below if you suspect unauthorised access.

5. Customer Data & Protection of Personal Information (POPIA)

5.1 We process Customer Data, including any Personal Information it contains, only to provide, maintain, and improve the Services, and for billing, support, and legal compliance purposes.

5.2 We implement reasonable technical and organisational security measures to protect Customer Data against loss, unauthorised access, and unlawful processing, as required by POPIA.

5.3 We do not sell Customer Data. Where we use third-party service providers (e.g. hosting, SMS/email delivery) to process Personal Information on our behalf, they are required to maintain equivalent confidentiality and security standards under written agreement.

5.4 Some service providers may process data outside South Africa. Where this occurs, we take reasonable steps to ensure the recipient is subject to a law, contract, or binding agreement providing an adequate level of protection substantially similar to POPIA.

5.5 Subject to applicable law, you may request access to, correction of, or deletion of Personal Information we hold about you, or object to its processing, by contacting our Information Officer below.

5.6 We retain Customer Data for the duration of your subscription plus a reasonable period thereafter to meet legal, accounting, or support obligations, after which it is securely deleted or anonymised.

6. Acceptable Use

You agree not to: (a) use the Services unlawfully or to infringe another party’s rights; (b) attempt to gain unauthorised access to our systems or other customers’ data; (c) reverse engineer, resell, or sublicense the Services without our written consent; or (d) upload data you do not have the right to share with us.

7. Intellectual Property

The Services, including all software, dashboards, designs, and documentation, remain the property of Agrimonitor or its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain ownership of your Customer Data.

8. Fees & Payment

Fees are set out in your order or the Pricing page and are payable in advance for the applicable billing period, unless otherwise agreed in writing. Overdue amounts may result in suspension of the Services after reasonable written notice.

9. Warranties & Disclaimers

We aim to provide accurate and reliable monitoring data but do not warrant that the Services will be uninterrupted, error-free, or fit for a specific purpose beyond what is expressly agreed in writing. The Services support farm management decisions but do not replace your own operational judgement and physical inspections.

Sensor and monitoring measurements depend on correct installation, calibration, connectivity, and environmental conditions. You should verify critical operational decisions independently and continue routine physical inspections rather than relying on sensor data alone.

10. Limitation of Liability

To the maximum extent permitted by South African law, Agrimonitor’s total liability to you arising from these Terms or the Services is limited to the fees paid by you for the Services in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, including crop loss, livestock loss, irrigation failure, missed alerts, connectivity failures, power outages, weather-related losses, or loss of profit or water, except where liability cannot lawfully be excluded or limited.

11. Indemnity

You agree to indemnify Agrimonitor against claims, losses, or damages arising from your misuse of the Services or breach of these Terms, to the extent permitted by law.

12. Suspension & Termination

Either party may terminate for convenience on written notice as set out in your order, or immediately if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period after being notified. We may suspend access immediately for security reasons or non-payment. On termination, we will retain or delete your Customer Data in line with section 5.6.

13. Confidentiality

Each party will keep the other’s confidential information private and use it only to perform its obligations under these Terms, except where disclosure is required by law.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. The parties submit to the non-exclusive jurisdiction of the South African courts.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to you (e.g. by email or an in-app notice) before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
